Terms & Conditions (CLOZR)

1. Introduction

Welcome to CLOZR. These Terms and Conditions (“Terms”) form a legally binding agreement between you (“Client”, “User”, or “you”) and Marketwise Solutions FZCO (“CLOZR”, “we”, “us”, or “our”). These Terms govern your access to and use of the CLOZR platform, including its web-based application, mobile application, and all related services (collectively, the “Services”).

By creating an account, subscribing, or otherwise using the Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms in full. If you do not agree, you must immediately cease using the Services.

2. Definitions

For the purpose of these Terms, the following definitions apply:

“Customer Data” means all data uploaded, entered, or generated by you within the Services, including limited to contacts, leads, prospects, pipeline opportunities, and associated identifiers.

“Contacts” means individual records of persons or entities stored within the Services, which may include names, email addresses, telephone numbers, company information, tags, and other related attributes.

“Opportunities” means sales or business opportunities entered by you into the Services, including pipeline stages, deal information, and status updates.

“Service Materials” means all system-generated assets, templates, automations, funnels, websites, dashboards, forms, surveys, pipelines, reports, integrations, scripts, and any other configuration or functionality created within or provided by the Services.

“Underlying Platform” refers to the foundational infrastructure and technology stack upon which CLOZR operates.

3. Eligibility and Account Access

To access the Services, you must:

Be at least eighteen (18) years old.

Hold a valid subscription with CLOZR.

Use login credentials provided at registration.

You are solely responsible for maintaining the confidentiality of your credentials and for all activity carried out under your account. Any unauthorized access or sharing of accounts is strictly prohibited.

4. Scope of Services

The Services include, without limitation:

Contact and CRM management

Opportunity and pipeline tracking

Online reputation monitoring

Social media publishing and scheduling

Google Business Profile integration

Messaging, calendar, and workflow tools

The Services may be updated or modified from time to time. No guarantee is given that any specific feature will remain available permanently.

5. Third-Party Dependencies

Some functionalities of the Services depend on third-party providers (Google, Meta, telecom providers, etc.). Availability, accuracy, or continuity of such features may be impacted by third-party actions beyond our control. We disclaim responsibility for such dependencies.

6. Privacy and Data Protection

6.1 Processing of Data. We collect and process Customer Data solely to provide the Services.

6.2 Confidentiality. We implement reasonable technical and organizational safeguards to protect Customer Data against unauthorized access, alteration, or disclosure.

6.3 No Exploitation. Customer Data is not sold, rented, or used for independent purposes by CLOZR.

6.4 Support Access. Limited access to Customer Data may occur exclusively for support and maintenance purposes. Such access shall only take place if the Client has expressly granted temporary access to the relevant sub-account. It is the sole responsibility of the Client to remove or revoke such access once the support intervention has been completed. All access, when granted, is restricted, time-bound, and logged for traceability purposes.

7. Customer Data Ownership & Responsibility

7.1 Ownership of Contacts and Opportunities.

You remain the exclusive owner of all Contacts and Opportunities that you input, upload, or generate within the Services.

Such data remains your property during and after the subscription term.

7.2 Export Rights.

Upon written request by the authorized account holder, and provided the account is in good standing, you are entitled to receive an export of your Contacts and Opportunities in CSV or similar format.

No other categories of data are exportable.

7.3 Service Materials Remain Our Property.

All Service Materials (funnels, automations, templates, dashboards, etc.) are the sole property of CLOZR.

You are granted only a limited, revocable, non-transferable license to use Service Materials while your subscription is active.

Upon termination, this license expires and all access ceases.

7.4 No Transfer of Sub-Accounts.

Accounts are provisioned under Marketwise’s controlled tenancy on the Underlying Platform.

Sub-accounts, tenancy rights, or infrastructure access cannot be transferred, cloned, reassigned, or exported to you or any third party.

7.5 No Reverse Engineering or Extraction.

You shall not attempt to reverse engineer, replicate, scrape, or otherwise extract Service Materials or system configurations by any means, including but not limited to: API calls, code inspection, database dumps, or shell access.

7.6 Legal Compliance.

You are solely responsible for ensuring compliance with all data protection, privacy, and marketing regulations applicable to your use of Contacts and Opportunities.

Any unlawful or unauthorized use (spam, unlawful data collection, privacy violations) shall be your sole responsibility.

7.7 Our Role.

For the avoidance of doubt, CLOZR acts strictly as a data processor/host of Customer Data.

You remain the data controller, with full legal responsibility for how your Customer Data is obtained and used.

8. Payments & Subscription Terms

Subscription fees are payable in advance via www.clozr.io.

Non-payment may result in suspension or termination.

Cancellation ends all rights to access Service Materials.

No refunds are provided except where legally required.

9. Intellectual Property

All rights, title, and interest in and to Service Materials, design, software, and content are retained by CLOZR and its licensors.

Awards or recognitions displayed on the website may belong to the Underlying Platform and are not claimed by CLOZR.

10. Data Portability & Limitations

10.1 Exportable Data. Only Contacts and Opportunities may be exported, as defined in Section 7.

10.2 Excluded Data. Funnels, campaigns, automations, message histories, dashboards, integrations, and any other Service Materials are not exportable.

10.3 Format and Delivery. Exports are provided in CSV or a comparable machine-readable format within thirty (30) days of a valid request.

10.4 Infrastructure Access. You acknowledge and agree that no shell, database, or system-level access to the Underlying Platform shall be granted.

11. Disclaimers & Limitation of Liability

The Services are provided “as is” without warranty of any kind.

We do not guarantee uninterrupted access, error-free performance, or compatibility with all devices.

To the maximum extent permitted by law, we disclaim liability for data loss, misuse by you, third-party failures, or indirect damages.

12. Termination

We may suspend or terminate your account immediately upon breach of these Terms.

Upon termination, your rights to Service Materials cease entirely.

You may still request export of Contacts and Opportunities as permitted.

13. Amendments

We reserve the right to amend these Terms at any time. Continued use constitutes acceptance of the latest version.

14. Governing Law

These Terms shall be governed by the laws of the United Arab Emirates. Disputes shall fall under the exclusive jurisdiction of the Dubai courts under IFZA authority.
